By accessing or using Axis, which includes but is not limited to visiting our website, using our application, interacting with our application via Discord, or otherwise engaging with our platform, you agree to be bound by these Terms of Service. Additionally, you agree to adhere to any additional terms and conditions and policies referenced herein or available via hyperlink.

If you do not agree to all of these terms, you may not access or use the Service.

Account Information

1. In order to access certain features of the Service, you may need to be logged in with your Discord account. We store your account information in accordance with our Privacy Policy.

2. You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.

3. You must be at least 13 years old to use the Service. If you are under the age of 18, you represent and warrant that you have obtained consent from your parent or legal guardian to use the Service.

Termination of Services

You may discontinue using the Services at any time. We reserve the right to terminate or suspend your access for any reason, including breaches of these Terms. Termination of your account may result in the deletion of any associated data, content, or preferences.

User Conduct

1. You agree to use the Service solely for lawful purposes and in compliance with these Terms of Service. Additionally, you agree not to use the Service in any manner that violates any applicable laws or regulations.

2. You agree not to engage in any activity that is harmful, offensive, threatening, abusive, harassing, defamatory, obscene, hateful, or otherwise objectionable while using the Service.

3. You agree not to upload, post, transmit, or otherwise make available any content that infringes upon the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

4. You agree not to engage in any activity that interferes with or disrupts the operation of the Service or the servers or networks connected to the Service.

5. You agree that you will not copy or store significant portions of the Content or data related to our services.

6. You agree that you will not crawl, scrape, or spider any pages, data, or portions of the Services or Content, whether manually or automatically.

7. You agree that you will not decompile, reverse engineer, or otherwise attempt to obtain code or underlying information related to the Services.

8. You agree that you will not operate any form of auto-responder, spam, or processes that interfere with the proper functioning of the Services.

9. You agree not to engage in any activity that violates the intended use of the Services or the Terms of Service, or otherwise uses the Service in a way not intended by us.

10. You agree that you will not do anything that results in violation of Discord's terms of service, either personally or via the Axis Discord App.

User Content (UC)

Any content you post, upload, share, or otherwise provide through the Services is considered your “User Content (UC).” Some User Content (UC) may be visible to other users. You are fully responsible for all User Content (UC) you contribute, representing that all User Content (UC) is accurate, complete, current, and complies with applicable laws.

You agree not to submit any User Content (UC) that:

• 1. Infringes upon any third-party rights, upon the rights of any third party, including intellectual property rights, privacy rights, publicity rights, copyrights, and trademarks.
• 2. Contains, distributes, or otherwise makes available any content that includes viruses, malware, or other harmful or disruptive code.
• 3. Includes hateful, defamatory, or discriminatory material.
• 4. Exploits minors.
• 5. Depicts unlawful acts or extreme violence.
• 6. Displays animal cruelty or extreme violence against animals.
• 7. Promotes fraudulent schemes or dubious money-making ventures.
• 8. Violates any laws.
• 9. Displays or promotes content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or otherwise objectionable.

Licenses to User Content (UC)

By submitting User Content (UC), you grant cmds.media a worldwide, non-exclusive, perpetual, royalty-free, sublicensable, and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, and perform your User Content (UC) in connection with the Services and for promotional purposes.

You also grant other users a non-exclusive, perpetual license to access and use your User Content (UC).

We may need to modify your User Content (UC) to enhance specific features of the Service or to address technical requirements, and you grant us the necessary rights to do so.

Intellectual Property Rights

We respect intellectual property rights and may remove content that infringes these rights. If you feel that your intellectual property rights have been violated, please contact us here.

Confidentiality of Unreleased Content

You agree not to leak, reproduce, or otherwise share with others any beta, in-production, or otherwise unreleased content related to the Services without prior written permission from cmds.media. Unauthorized disclosure of unreleased content may result in termination of your access to the Services and potential legal action.

Dispute Resolution & Arbitration

Mandatory Arbitration: By using the Service, you agree that any and all disputes or claims arising out of or in connection with these Terms or the Service shall be resolved exclusively through binding arbitration. Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA), and the location of the arbitration shall be determined in accordance with West Virginia law.

Waiver of Court Proceedings: You agree to waive any right to a jury trial or to have any dispute decided in court. Arbitration is the sole method for resolving disputes, and the arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that all claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative action. You waive any right to participate in class action lawsuits or class-wide arbitration.

Costs: Each party will bear its own costs in the arbitration proceedings unless the arbitrator decides otherwise.

Survival of Provisions

Certain provisions, such as payment obligations and limitations on liability, will remain in effect even after termination.

Refund Policy

All payments made for services provided by cmds.media are non-refundable unless explicitly stated otherwise. If you wish to cancel subscriptions, it will remain active until the end of the current billing cycle.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of West Virginia, without regard to its conflict of law provisions. You are responsible for any taxes related to payments made to us for Services.

Amendments to Terms

We reserve the right to modify or update these Terms of Service at any time and for any reason, without prior notice. However, we will attempt to notify you via means such as email, social media, or through the site directly. Any changes to these terms will be effective immediately upon posting the revised terms on the Service. Your continued use of the Service after the posting of any revised terms constitutes your acceptance of such changes.

Force Majeure

Axis and cmds.media shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMDS.MEDIA AND ITS AFFILIATES, EMPLOYEES, AGENTS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE, (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN, OR (C) ANY OTHER MATTER RELATED TO THE SERVICE.

Service "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE SECURE. USE OF THE SERVICE IS AT YOUR OWN RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE RESULTING FROM IT, INCLUDING DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.
